MAINTENANCE AGREEMENT β TREPEDIA

This maintenance agreement applies to customers of Trepedia GmbH with an active maintenance subscription. The terms apply in addition to the General Terms and Conditions of Trepedia GmbH. In case of conflict, the provisions of this agreement prevail.
With the maintenance subscription, Trepedia GmbH provides support and further development of the delivered software. This includes:
Support applies only to the standard version of Trepedia GmbH as delivered by Trepedia GmbH. Customized versions are outside the scope of this agreement, unless otherwise agreed.

Additional services will be charged separately according to the applicable rates.
The maintenance subscription is concluded for a minimum of 12 months and automatically renewed annually. Termination must be in writing, with a notice period of at least one calendar month for the start of the new subscription period. The subscription fee is billed annually in advance. Payment must be made within 14 days of the invoice date. Trepedia reserves the right to adjust rates annually.
If the customer fails to pay the subscription, Trepedia GmbH is entitled to:
Trepedia GmbH is only liable for direct damage that can be proven to be a result of intent or gross negligence. Trepedia GmbH is not liable for consequential damage, loss of profit or data loss. The customer is responsible for making backups and ensuring data security before updates or maintenance.
The maintenance agreement has a minimum duration of 12 months. Early termination does not entitle the customer to reimbursement, unless agreed in writing. Termination must be in writing and at least one month before renewal.
Trepedia GmbH reserves the right to amend these maintenance terms. Changes are communicated timely and in writing. This agreement is governed by German law only. Disputes are submitted to the competent court in Germany.
