General Terms and Conditions

Applicable to all deliveries of software and services by Trepedia, a trading name of:

Trepedia is an initiative of Draw2design (specialized in technical drawing for stairs and railings) and I-Program (developer of custom software solutions). Together, they are responsible for the development, delivery, and further development of the Trepedia software.

1. Applicability

These general terms and conditions are applicable to all agreements regarding the delivery and use of Trepedia's software and services. Deviating or additional terms of the customer are only binding if they have been explicitly and in writing accepted by Trepedia.

2. Definitions

  • Software: the digital applications, modules, and export functions provided by Trepedia.
  • License: the right to use the software, as agreed between parties.
  • Subscription: an agreement concluded by the customer for ongoing access to updates, support, and extensions.
  • Customer: any party entering into an agreement with Trepedia, preferably a business or professional user.

3. License and Use Rights

The customer acquires a non-exclusive, non-transferable license for the use of the software according to the agreed-upon licensing terms and the number of users or modules. Use is permitted only for internal purposes.

Rental, sale, sublicensing, resale, or making available to third parties is not allowed without prior written permission from Trepedia.

The customer may make one secure backup copy, provided it is for personal use only and marked as "backup".

4. Subscription and Further Development

New customers conclude a support subscription upon purchase of the software for updates, improvements, and support.

Existing customers retain access to their original version without a subscription obligation. They will not receive new functions or support unless they still conclude a subscription.

The subscription is billed annually and is terminable in writing with a one-calendar-month notice period.

5. Demo and Trial Period

Trepedia offers a free trial version of 21 days, with the full functionality of the software available, except for export functions. After the trial period ends, a license is required to continue using the software.

6. Delivery and Activation

The software is delivered digitally via download and activated with a temporary or permanent license key. Delivery is considered complete once the customer has access to the software via the agreed-upon method.

7. Support and Availability

Support is provided exclusively to customers with an active support subscription. Trepedia strives for high software availability but does not guarantee permanent or flawless operation.

Support is provided via email or other channels chosen by Trepedia.

8. Liability

Trepedia is solely liable for direct damage resulting from obvious shortcomings in the execution of the agreement, up to the amount paid for the software.

Trepedia is not liable for indirect damage, consequential damage, loss of profit, or damage resulting from the use of incorrect or incomplete data.

The customer is responsible for the review of output, drawings, and export files before they are used in production or execution.

9. Intellectual Property

All rights to the software, including source code, design, documentation, and trademarks, remain fully owned by Trepedia and its licensors. It is not allowed to copy, modify, reproduce, publish, or make available the software in whole or in part.

10. Confidentiality

Both parties undertake to keep confidential all confidential information received in the course of cooperation. Confidential information may only be shared with persons involved in the execution of the agreement and bound by a confidentiality obligation.

11. Privacy and Data Protection

Trepedia processes personal data in accordance with applicable privacy laws, including the GDPR (General Data Protection Regulation). If Trepedia processes personal data on behalf of the customer, a processor agreement will be concluded upon request.

12. Export and International Delivery

Trepedia delivers its software exclusively digitally to customers in multiple countries, within and outside the EU. Applicable law on all agreements and deliveries is exclusively Dutch Law, regardless of the customer's location or software use.

The software is provided on the basis of a non-transferable license for internal use by the customer. It is not allowed to deliver, sell, lease, or make available software in any way to third parties, unless Trepedia has previously given written permission.

13. Applicable Law and Competent Court

Applicable law on all agreements with Trepedia is exclusively Dutch Law. Disputes are to be brought, unless otherwise determined by mandatory law, exclusively before the competent court in the Netherlands.

14. Additional Services (Optional)

Trepedia delivers standard software exclusively digitally, without additional implementation, customization, training, or consultancy.

If additional services are agreed upon - such as on-site support, training or specific guidance – separate agreements, tariffs, and (if applicable) additional terms apply. These are confirmed in writing prior to quotation or agreement.

15. Final Provisions

If one or more provisions in these terms and conditions are found to be null and void or invalid, the remaining provisions remain unaffected.

Trepedia reserves the right to amend these terms and conditions at any time. The most current version is always available via www.trepedia.nl.
